Digital Contracts for Perfex CRM – Clause Library Electronic Signature

Digital Contracts module brings the whole contract lifecycle into Perfex CRM. Build a library of approved clauses, turn them into reusable contract templates, generate a contract in a few clicks, route it through an approval chain, and send the counterparty a public link where they can read and sign it without ever creating an account.

Every version is kept, every approval and signature is recorded, and the dashboard tells you at a glance how many contracts are waiting for review, which ones are close to expiring, and how long approvals are actually taking.

What you get

• Templates that fill themselves in. Contract Types combine a category, an approval flow, merge fields and clause libraries, so a new contract starts out already written.
• Approvals that follow the rules. Sequential or parallel flows, a signing deadline, and conditions based on contract value.
• Signing without a login. Customers and vendors open a public link, read the contract and sign it — internal representatives sign from inside Perfex.
• Nothing is lost. Revisions keep every version with a PDF preview and a restore option; Activity records who created, edited, approved, signed or restored.
• Five reports and a dashboard. Performance, Addendum by Type, Contract by Counterparty Type, Detail Counterparty and Contract by Staff, plus KPI cards and charts.

Module Features

1. Contract Dashboard — KPI cards for All Contracts, In Review, Pending, Active, Expired, Cancelled and Signed, with charts for daily contract count, active contracts over time, and breakdowns by status, department, employee, contract type, entity and contract value. Separate panels track contracts approaching expiration, contracts approaching their approval deadline, and average approval time.
2. Clause Libraries — create and manage reusable clauses with a variable name, alternate clauses and a designated standard clause. Duplicate, export to PDF, and review the full version history of every library.
3. Clause Types — classify clauses so the library stays organised as it grows.
4. Contract Types — build reusable contract templates from a category, an approval flow, merge fields and clause libraries. Templates can be duplicated and exported to PDF.
5. Contract Categories — group contract types for filtering and reporting.
6. Contract Lifecycle — create a contract from a template with entity, counterparty, department, dates, contract value, selected clauses and linked documents, then work through Summary, Content, Addendum, Collaborators, Approval, Signature, Revisions, Tasks, Checklist, Attachments and Activity tabs.
7. Customer or Vendor as Counterparty — a contract can be signed with a Perfex customer or with a vendor created inside the module.
8. Vendor Management — maintain vendors, vendor contacts and vendor categories for use as contract counterparties.
9. Approval Flows — configure approval type (sequential or parallel), the approver chain, the maximum number of days to sign, whether approvers are chosen at submission time, and a contract-value threshold that decides which flow applies.
10. Contract Approval — send an approval request, follow each approver’s status, and read the full approval history on the contract itself.
11. Electronic Signature — assign internal and counterparty representatives, send the signing request, and track signed status for every signer.
12. Public View & Sign Without Login — the counterparty opens a public link, reads the contract or addendum and signs it, with no account and no password required.
13. Addendum Management — create addendums linked to an existing contract. The approval flow is inherited from the parent contract, and each addendum has its own approval, signature, revisions, attachments and activity.
14. Revisions — every edit creates a version. Preview any version as PDF and restore an eligible one when permitted.
15. Collaborators — share a contract with internal staff and control access tab by tab.
16. Tasks, Checklist and Attachments — attach follow-up tasks, track special clauses as checklist items, and manage related files with a Visible to Customer option.
17. Activity Log — a chronological record of creation, edits, approvals, signatures, restores and other actions on each contract and addendum.
18. Entities — manage the legal entities that sign contracts, so a group with several companies can issue contracts under the correct one.
19. Granular Permissions — configure access per role or staff member across Contracts, Clause Libraries, Contract Types, Addendum, Reports, Settings and Dashboard.
20. Email Templates — dedicated templates under Setup → Email Templates for sharing a contract, requesting approval and requesting a signature.
21. Contract Reports — Performance (approval time, with contracts over the allowed duration highlighted), Addendum by Type, Contract by Counterparty Type, Detail Counterparty (contracts versus signed contracts per counterparty) and Contract by Staff (Approved, Rejected, Pending Signature, Fully Signed).
